1. Acceptance of Terms

Welcome to usvn.trade – the trusted trade platform for US and Vietnam.

By accessing or using the Platform at https://www.usvn.trade/ (including any websites, mobile applications, services, features, or content – collectively, the “Platform”), you – whether personally or on behalf of an entity (“User,” “you,” or “your”) agree to these Terms of Service (“Terms”). If you do not agree, you must not use the Platform. We (“Company,” “we,” “us,” or “our”) reserve the right to update these Terms at any time. We will provide reasonable notice of material changes (via email or prominent Platform notice). Your continued use after changes constitutes acceptance of the revised Terms.

2. Platform Description and Our Role

usvn.trade operates a B2B trade platform connecting users in the United States with Vietnamese suppliers and partners.

Our Role as Intermediary

usvn.trade LLC primarily acts as a neutral marketplace and intermediary platform facilitating connections and information exchange between buyers and suppliers. We are not involved in, nor do we control, supervise, verify, or take responsibility for negotiations, transactions, payments, deliveries, or any fulfillment activities between users, and we do not act as a broker, agent, buyer, seller, or guarantor in such interactions.

Exception: For specific products or services explicitly marked as “Managed by usvn.trade LLC” on the Platform, we (or our affiliates) may act in a direct capacity (e.g., as seller or fulfillment provider). In those limited cases, separate terms may apply and will be clearly disclosed at the point of interaction.

In all cases, you are responsible for performing your own due diligence, verifying counterparties, negotiating terms, entering into contracts, and ensuring compliance with all applicable laws (including export/import controls, tariffs, sanctions, and industry regulations). usvn.trade LLC disclaims all liability resulting from trade defaults, defective goods, or fraudulent business practices committed by users. We do not guarantee the quality, legality, safety, accuracy, or availability of any listings, requests, or user-provided information.

3. Eligibility and Account Registration

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) and have the legal capacity to enter into binding agreements. Business accounts must be created by an authorized representative.

You agree to:

• Provide accurate, complete, and current information during registration and ongoing use.
• Maintain the confidentiality of your account credentials.
• Accept full responsibility for all activities under your account.

We reserve the right, but hold no obligation, to ask for business registration filings, tax identifiers, or import/export permissions to verify corporate accounts. Any “Verified Supplier” or “Approved Buyer” designation awarded on the Platform reflects basic operational checks for convenience only. It does not constitute a legal endorsement, background check, or validation of creditworthiness by usvn.trade LLC. Users must conduct their own due diligence before sending funds or inventory.

4. User Conduct and Prohibited Activities

You agree not to:

• Post, transmit, or share false, misleading, infringing, defamatory, obscene, or illegal content.
• Post any content related to politics, religion, or any political/religious organizations or advocacy in any form.
• Engage in spam, unsolicited advertising, harassment, or fraudulent activities.
• Scrape, crawl, copy, or systematically extract Platform data without permission.
• Violate any applicable laws, including U.S. trade regulations or Vietnamese export laws.
• Impersonate any person or entity or create fake accounts.
• Interfere with the Platform’s operation or security.

We reserve the right (but have no obligation) to review, remove, or refuse content, and to suspend or terminate accounts for violations, without prior notice.

5. Subscriptions, Payments, and Billing

Access to certain features (e.g., enhanced visibility, advanced search, priority support, or contact unlocks) may require one-time payments or recurring subscriptions. Pricing and features are described on the Platform.

• Payments are processed securely through Stripe and/or PayPal.
• Recurring subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless canceled.
• You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing cycle.
• No refunds for partial periods, unused features, or downgrades. You will retain access until the end of the paid cycle.
• We reserve the right to change pricing at any time without prior notice.

You are responsible for all applicable taxes and fees.

6. Intellectual Property

The Platform and all its content (including logos, designs, text, software, databases, and trademarks) are owned by or licensed to usvn.trade LLC and protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not copy, modify, distribute, or commercially exploit any part of the Platform without our prior written consent.

By posting content (listings, requests, images, etc.), you grant us a worldwide, royalty-free, non-exclusive license to host, display, distribute, and use that content on the Platform as necessary to provide the service.

7. Third-party Links and Hyperlinking to Our Content

Certain content, products and services available via our Service may include materials from third-parties.

Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party’s policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

If you find any link on our website or any linked website objectionable for any reason, you may contact us about this. We will consider requests to remove links but will have no obligation to do so or to respond directly to you.

To the extent permitted by applicable laws usvn.trade LLC shall not be responsible or liable for the Comments or for any loss cost, liability, damages or expenses caused and or suffered as a result of any use of and/or posting of and/or appearance of the Comments on this website.

If, at our request, you send certain specific submissions or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials (collectively, ‘comments’), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We disclaim all warranties regarding accuracy, completeness, reliability, merchantability, fitness for a particular purpose, non-infringement, or uninterrupted/error-free operation.

We do not endorse or verify any user content, suppliers, or transactions (except for explicitly “Managed by usvn.trade LLC” items).

11. Limitation of Liability

To the fullest extent permitted by law, usvn.trade LLC, its owners, officers, directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages (including loss of profits, data, business opportunities, or goodwill) arising out of or related to your use of the Platform, any user interactions, or any transactions.

12. Indemnification

You agree to indemnify, defend, and hold harmless usvn.trade LLC and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Platform;
• Your content or listings;
• Your transactions or interactions with other users; or
• Your breach of these Terms or any applicable law.

13. Termination

We may suspend or terminate your account or access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately, but surviving provisions (including payment obligations, disclaimers, liability limitations, and indemnification) remain in effect.

14. Governing Law and Dispute Resolution

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction and venue of such courts. You waive any objection to such jurisdiction or venue.

15. Miscellaneous

• Severability: If any provision is held invalid, the remainder remains enforceable.
• Entire Agreement: These Terms constitute the entire agreement between you and us.
• No Waiver: Failure to enforce any right does not constitute a waiver.
